{"id":619,"date":"2016-11-22T15:18:40","date_gmt":"2016-11-22T12:18:40","guid":{"rendered":"http:\/\/dev.websystems.ee\/arenduskeskused.ee\/organisatsiooni-arendamine\/uhingu-lopetamine\/lopetamise-vajadus-sh-juhatuse-liikme-vastutus\/?lang=en"},"modified":"2018-09-04T16:37:13","modified_gmt":"2018-09-04T13:37:13","slug":"cso-dissolution","status":"publish","type":"page","link":"https:\/\/www.mtyabi.ee\/en\/cso-dissolution\/","title":{"rendered":"Dissolution of a non-profit association"},"content":{"rendered":"<p><strong>The dissolution process consists of several stages and takes over two months to complete.<\/strong><\/p>\n<p>In short, the proceedings are as follows:<\/p>\n<ul>\n<li>The general meeting decides to dissolve the association and determines the liquidators and if necessary, also decides the distribution of remaining assets<\/li>\n<li>A relevant petition is submitted to the register and the liquidators are entered in the register instead of members of the management board<\/li>\n<li>A liquidation report is submitted in the annual reports section (if it becomes evident that the amount of obligations exceeds the amount of the association\u2019s assets, then the liquidator must submit a bankruptcy petition to the court)<\/li>\n<li>The association publishes an <u><a href=\"http:\/\/www.rik.ee\/en\/official-announcements\">official announcement<\/a><\/u> about its liquidation so that creditors could submit their claims (even if there are none). A waiting period of two months follows.<\/li>\n<li>Debts are paid and the remaining assets are distributed (the latter must not be done before the passing of six months)<\/li>\n<li>Final balance sheet is submitted as an annual report<\/li>\n<li>A petition is submitted to the register for the deletion of the association (without a state fee) and a depositary of documents is appointed<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>The dissolution process consists of several stages and takes over two months to complete.
